We want our members to enjoy all the features on this site.

However, we require that each Member abide by the following Terms, Conditions & Policies.

Failure to adhere to the Terms, Conditions & Policies will result in immediate termination of access to this site, without refund or recourse.

MEMBERSHIP TERMS & RENEWAL

  • Membership Term is 12 months (1 Year) from the date of purchase, except where extended in certasin promotions
  • Membership may be cancelled at any time during the term, however there are no refunds for any reason.
  • Membership will automatically renew and rebill on the aniversary date, unless cancelled. The only exception being promo memberships, which do not renew automatically.
  • Member has no obligation to continue Membership at the expiration of the term, however the membership must be cancelled, in writing, a minimum of 30 days prior to renewal to avoid renewal for the subsequent term.
  •  It is not our intent to 'surprise' anyone or renew any Membership without the prior knowledge of the Member. Therefore our Members will be notified (by email) at the following intervals prior to renewal date: 45 days, 30 days 15 days and upon billing of Membership renewal.
  • Members may not share login passwords and/or user names, with anyone, under any circumstances. Our system will record ISP addresses and is designed to detect abuse, sharing or improper login proceedures. We will immediately suspend the account of any Member who violates this policy.

SOCIAL NETWORKING, FORUM POLICIES & GUIDELINES

 

  • Absolutely no blatent advertising, trading of goods or services, or other commercial use will be permitted in the forums or Social Netowrking area of the site. We do understand that our members will offer services or products in an effort to support or assist another Member and this will be permitted..
     
  • No bulk email, junk mail or spam, chain letters, or repeat postings of the same message will be permitted at any time in any area of the site.
     
  • Do not impersonate another person or use a 'fake' name that implies you are someone you are not. While we would like to see everyone posting under their own name, we understand that some Members may not want to display their 'real' name, we request that you select screen names that do not mislead in any way.
     
  • Treat other subscribers with courtesy and respect when posting messages. We will not tolerate name calling or abuse toward any Member. We fully expect disagreement and open disagreement in discussion, but we require all posings to worded accordingly.
     
  • Please avoid "shouting" (using all capital letters) in the discussion forums. It is rude.
     
  • Do not use vulgarity, obscenity, profanity, ethnic slurs, hate speech, or sexually explicit language, or harass, abuse, or threaten other Members. Do not libel or defame others. This site strongly disapproves flaming.
     
  • By posting content on this site you are thereby providing authorivation that permits this site, its owners and parent Corperation, to display and distribute the content, and to use it for advertising and promotion. You also grant to this site the complete, perpetual, but non-exclusive right to use, reproduce, modify, adapt, translate, distribute, sub-license, etc. said content, in whole or in part..
     
  • We do not guarantee to monitor or edit messages posted on this site, but we do reserve the right to edit or remove objectionable postings. The person posting a message is solely responsible for it, and not this site, its owners or parent Corperation. Violators may be liable for the posting of material under their Membership name and may aslo be permanently banned from using the forums, or even have their Mambership terminated.

ACCEPTANCE OF TERMS
Welcome to The Coaches Alliance. By signing up for Membership you aree agreeing to all Conditions noted on this page. The Coaches Allaince provides services to you, subject to the following Terms, Conditions & Policies.

DESCRIPTION OF SERVICE
The Coaches Alliance provides Members with access to various resources, including, various communications tools, forums, personalized profiles and certain marketing opportunities.

By registering as a Member you understand and agree that the service will include communications from The Coaches Allaince, concerning marketing announcements, administrative messages, event announcements, etc. These communications are considered part of your Membership with The Coaches Alliance and you will not be able to opt out of receiving them.

You understand and agree that the Service is provided "AS-IS" and that The Coaches Alliance assumes no responsibility for the timeliness, deletion, mis-delivery or failure to store any user communications or personalization settings. You are responsible for obtaining access to the Service and that access will most likely involve third party fees (i.e. Internet service provider). You are responsible for those fees. In addition, you must provide and are responsible for all equipment necessary to access the Service.

MEMBERSHIP REQUIREMENTS
In consideration of your use of the Service, you agree that you are of legal age to form a binding contract and are not a person barred from receiving services under the laws of Canada, United States or any other applicable jurisdiction. You also agree to: (1) provide true, accurate, current and complete information about yourself as prompted by the Membeership registration form (information know as the "Profile") (2) maintain and promptly update the Registration Data to keep it true, accurate, current and complete. If you provide any information that is untrue, inaccurate, not current or incomplete, or The Coaches Alliance has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, The Coaches Allaince has the right to suspend or terminate your account and refuse any and all current or future use of the Service or any portion thereof.

MEMBER ACCOUNT, LOGIN, PASSWORD & SECURITY
You will receive a password and account designation upon completing the Membership registration process. You are responsible for maintaining the confidentiality of the password and account, and are fully responsible for all activities that occur under your password or account. You agree to (1) immediately notify The Coaches Alliance of any unauthorized use of your password or account or any other breach of security (2) ensure that you exit from your account at the end of each session. The Coaches Allaince cannot be held liable for any loss or damage arising from your failure to comply with this policy.

CONTENT LIABILITY
The Member understands that all information, data, text, sound, photos, graphics, video, messages or other materials also know as ‘content’, whether publicly posted or privately transmitted, are the sole responsibility of the person from which such Content originated. This means that the Member, and not The Coaches Alliance, are entirely responsible for all Content that you upload, post, email, transmit or otherwise make available via this website. The Coaches Alliance does not control the posted Content posted and, as such, does not and cannot, guarantee its accuracy, integrity or quality. Under no circumstances can The Coaches Allaince or LPFS Concepts Inc be liable in any way for any Content, including, but not limited to, any errors or omissions, or for any loss or damage incurred as a result of the use of any Content posted, emailed, transmitted or otherwise made available.

The Member agrees not to use the Service to:

Upload, post, email, transmit or otherwise make available any Content that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically or otherwise objectionable; or deemed to be harmful to minors in any way;

Impersonate or misrepresent affiliation with any person or entity, including, but not limited to, an official of The Coaches Allaince, forum leader

Upload, post, email, transmit or otherwise make available any Content that infringes on any patent, trademark, trade secret, copyright or other proprietary rights ("Rights") of any party;

Upload, post, email, transmit or otherwise make available any unsolicited or unauthorized advertising, marketing, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of solicitation, except in areas designated for such purpose and approved by The Coaches Allaince

Upload, post, email, transmit or otherwise make available any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment;
 
Intentionally or unintentionally violate any applicable local, provincial, state, national or international law.

"Stalk" or otherwise harass another; collect or store personal data about other users.

You acknowledge that The Coaches Alliance may or may not pre-screen Content, but that The Coaches Allaince, LPFS Concepts Inc. and its designees shall have the right (but not the obligation) in their sole discretion to pre-screen, refuse, or remove any Content that violates the TOS or is otherwise objectionable and is available via the Service.

You agree that you must evaluate, and bear all risks associated with, the use of any Content, including any reliance on the accuracy, completeness, or usefulness of such . In this regard, you acknowledge that you may not rely on any Content created by The Coaches Alliance or submitted through The Coaches Allaince, including without limitation, information on The Coaches Alliance Furums, Soccial Networking site, Discussion Boards, and on any and all other parts of the Service.

You acknowledge, consent and agree that in legal situations The Coaches Allaince may access, store, and disclose your account information and Content if required to do so by any legal aothority acting within the law or in a good faith belief that such access preservation or disclosure is reasonably necessary to: (1) comply with legal process; (2) enforce the TOS; (3) respond to claims that any Content violates the rights of third-parties; (4) respond to your requests for customer service; or (5) protect the rights, property, or personal safety of The Coaches Allaince, its users and the public.

SUBMITTED CONTENT
The Coaches Allaince does not claim ownership of any Content you submit or make available for inclusion on the Service. However on publicly accessible areas of the Service, you hereby grant The Coaches Alliance world-wide, royalty free and non-exclusive license(s), as applicable:

Any Content you submit or make available for inclusion on publicly accessible areas of the Service, will be considered as licenced for use by he Coaches Alliance as they see fit. This license exists only for as long as you continue to include such Content on the Service and will terminate at the time you remove or The Coaches Alliance removes such Content from the Service.


INDEMNITY
You agree to indemnify and hold LPFS Concepts Inc., and its subsidiaries, including The Coaches Allaince, affiliates, officers, agents, or other partners, harmless from any claim or demand, including legal fees, made by any third party due to or arising out of Content you submit, post, transmit or make available through the Service, your use of the Service, your connection to the Service, your violation of the Terms Conditions and Policies, or your violation of any rights of another.

RESALE OF SERVICE
You agree not to reproduce, duplicate, copy, sell, trade, resell or exploit for any commercial purposes, any portion of The Coaches Alliance Service use of the Service, or access to the Service.

GENERAL USE AND STORAGE PRACTICES
You acknowledge that The Coaches Alliance may establish general practices and limits concerning use of the Service, including without limitation the maximum number of days that message board postings or other uploaded Content will be retained by the Service, the maximum disk space that will be allotted on The Coaches Alliance servers on your behalf, and the maximum number of times (and the maximum duration for which) you may access the Service in a given period of time. You agree that The Coaches Alliance has no responsibility or liability for the deletion or failure to store any messages and other communications or other Content maintained or transmitted by the Service. You acknowledge that The Coaches Alliance reserves the right to log off accounts that are inactive for an extended period of time. You further acknowledge that The Coaches Alliance reserves the right to modify these general practices and limits from time to time.


TERMINATION
You agree that The Coaches Alliance may, under certain circumstances and without prior notice, immediately terminate your Membership account, and access to the Service. Cause for such termination shall include, but not be limited to, (1) breaches or violations of the Terms Conditions & Policies or other incorporated agreements or guidelines, (2) requests by law enforcement or other government agencies, (3) a request by you, (4) discontinuance of the Service (or any part thereof), (5) technical or security issues (6) extended periods of inactivity. Further, you agree that all terminations for cause shall be made in The Coaches Alliance’s sole discretion and that The Coaches Alliance shall not be liable to you or any third-party for any termination of your account, associated email address, or access to the Service.

ADVERTISERS, PROMOTORS, MARKETERS
Your correspondence or business dealings with, or participation in promotions of, advertisers found on or through the Service, including payment and delivery of related goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and such advertiser. You agree that The Coaches Alliance shall not be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings or as the result of the presence of such advertisers on the Service.

WEB LINKS
The Service will regularly provide, or third parties may provide, links to other websites or resources. Because The Coaches Alliance has no control over such sites, links or resources, you acknowledge and agree that The Coaches Alliance is not responsible for the availability of such external sites or resources, and does not endorse and is not responsible or liable for any Content, advertising, products, or other materials on or available from such sites or resources. You further acknowledge and agree that The Coaches Alliance shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such Content, goods or services available on or through any such site or resource.

DISCLAIMER OF WARRANTIES
YOU EXPRESSLY UNDERSTAND AND AGREE THAT:

YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. THE COACHES ALLIANCE EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

THE COACHES ALLIANCE MAKES NO CLAIM OR WARRANTY THAT (1) THE SERVICE WILL MEET YOUR REQUIREMENTS, (2) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, (3) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE, (4) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SERVICE WILL MEET YOUR EXPECTATIONS, AND (5) ANY ERRORS IN THE SOFTWARE WILL BE CORRECTED.

ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SERVICE IS DONE AT YOUR OWN DISCRETION AND RISK AND THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF ANY SUCH MATERIAL.

LIMITATION OF LIABILITY
YOU EXPRESSLY UNDERSTAND AND AGREE THAT THE COACHES ALLIANCE SHALL NOT BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF THE COACHES ALLIANCE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM: (1) THE USE OR THE INABILITY TO USE THE SERVICE; (2) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES RESULTING FROM ANY GOODS, DATA, INFORMATION OR SERVICES PURCHASED OR OBTAINED OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO THROUGH OR FROM THE SERVICE; (3) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; (4) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE SERVICE; OR (5) ANY OTHER MATTER RELATING TO THE SERVICE.
